center through the grant. UHrcc's board
of directors did not need to conform to the
governance requirement of the Medicare
Shared Savings Program that it include
physician representation, but in an effort
to ensure that the board was engaged and
provided active supervision, it did so. While
the inclusion of physicians-who may be
eligible for incentives-requires the careful
implementation of conflict-of-interest protocols, it allows the availability of valuable
guidance regarding the strategy and practical implementation of the pediatric aco's
initiatives. additionally, the program has
established informal mechanisms for feedback on structuring new initiatives through
medical and community advisory councils.
the strategic and operational alignment across all the acos is facilitated by
all three acos being governed by the same
president and chair of the board. By structuring each as an independent service line
(exhibit 2), we have created the flexibility

to contract with the appropriate complement of high-quality independent physicians, create nonreimbursement arrangements with managed care and government
payers, and provide rigorous protection
around sensitive data. UHaco, and its initial experience of population health management within the employee health plan,
serves as the parent to anchor the more
defined and regulated demonstration projects of the Medicare and pediatric acos
and to gain from the successful initiatives
formulated in its subsidiaries in the next
stages of its development. through the
governance structure, the acos are able to
operate independently while sharing and
incorporating all the successful strategies.
