Pharmacy students need to familiarize themselves with noncompetes and realize they have become a standard part of most job contracts, Vivian emphasized. “A lot of students don’t realize exactly what kind of environment they want to work in until they graduate, so they may not even think about these things,” he explained. “But they need to open their eyes and realize that these clauses are out there.” Students also should realize that the use of noncompetes varies by state. Some states, such as California and Oregon, ban such covenants. Other states, such as Idaho and Utah, enforce “reasonable” noncompetes. Ohio allows its courts to redraw noncompetes so they are no broader than “what is necessary or lawful,” while Massachusetts bars certain types of noncompetes for workers in particular industries. Like Vivian, Butler University’s Albert suggests that students review employment contracts before signing them, or have the contract reviewed by an attorney. “Even at $250 an hour for a one-hour consult, it’s cheap prevention in lieu of signing it without knowing what they’ve signed, going to work for a competitor afterward, potentially violating what they’ve signed, and then getting sued and not being able to work on what they want where they want,” she said. Next spring, Albert is teaching an entrepreneurship elective to make students aware of contract issues such as noncompetes. Other schools, such as Virginia Commonwealth University (VCU) in Richmond, are taking steps to make students aware of these covenants. “As part of our students’ career development preparation, faculty discusses the myriad issues associated with accepting a position,” said Thomas P. Reinders, associate dean for admissions and student services at VCU’s School of Pharmacy. “Students are advised to become familiar with every detail of an employment contract. They are advised to seek legal counsel when uncertain about the ramifications of any agreement terms and conditions.” Conley recommends that students simply read the employment contract. “Review it,” she said. “Just read first what you are signing. You’re in that romanced state of ‘Oh my God, I’m getting a [job] offer.’ Be aware of what you’re signing. These are not little harmless things. Any time there is a legal document involved, that’s an issue. It’s not something that goes away.
