M ERGERS & ACQUISITIONS Ciba Buys Photoinitiator Business BASEL, Switzerland – Ciba Inc. has entered into an agreement with Lamberti Group to purchase the Italy-based specialty chemical maker’s photoinitiator business. With unique professional skills, technology know-how and patented products, the business will strengthen Ciba’s offering of UV-curing solutions for coatings, inks, adhesives and electronics and expand its range of photoinitiators that are suitable for food packaging applications. The decision to sell the remaining Mozel packaging business is part of Univar’s strategic decision to focus on its core business of chemical distribution. EMCO is a contract blending and packaging provider in the United States. The acquisition allows EMCO to expand geographically and strategically combine two separate facilities with contract blending and packaging services to the same industries. Mozel will keep its name under the new ownership. trade names associated with acquired products. Under a manufacturing supply agreement, BASF will continue to supply products from Decatur, Belvidere and Monterrey for 11 to 12 months. After that period, BASF will close the Decatur facility and the Belvidere facility’s Plastisol line. Production from the Decatur and Belvidere operations will transfer to PPG’s Springdale, PA, plant. PPG to Acquire BASF’s North American COEX Business PITTSBURGH – PPG Industries has reached an agreement with BASF Corp. to acquire that company’s North American coil and extrusion coatings (COEX) business. The agreement does not include the COEX businesses of BASF SE in Europe, South America and Asia. BASF’s North American COEX business serves the construction, appliance, transportation, lighting fixture, extrusion and HVAC industries. The business operates manufacturing sites in Decatur, AL, and Monterrey, Mexico, as well as a production line in Belvidere, NJ. PPG will acquire saleable BASF inventory, customer list and book of business as well as various patents and Mallard Creek Polymers and Dow Reichhold Announce Sale CHARLOTTE, N.C. – Mallard Creek Polymers Inc., Charlotte, NC, a manufacturer of specialty emulsion polymer products, has purchased a portfolio of performance polymer products and related assets from Dow Reichhold Specialty Latex, Research Triangle Park, NC. Mallard Creek Polymers has purchased product formulas, trademarks and patents for approximately 50 specialty latex products used in the adhesives, coatings, construction, nonwovens, packaging, personal care, specialty paper and textile industries. Dow Reichhold had previously announced the closure of the joint venture between The Dow Chemical Co. and Reichhold Inc. and sale of various assets. This agreement with Mallard Creek Polymers is the final sale of Dow Reichhold commercial assets, including products and technology, as the company completes the orderly closure of its operations. Univar Sells Specialized Packaging Business to EMCO BELLEVUE, WA/NORTH CHICAGO, IL – Univar, Rotterdam, the Netherlands, has sold its Mozel packaging business and facility in Columbia, IL, to EMCO Chemical Distributors Inc., North Chicago, IL. Mozel provides custom packaging and blending of chemical raw materials for the coatings, adhesives, sealants and plastics industries. It became part of the Univar family during the acquisition of Ellis & Everard in 2001. Univar has integrated Mozel’s distribution business into its industrial chemical business over the past several years. Acquisitions Strengthen AkzoNobel’s Performance Coatings Portfolio AMSTERDAM, the Netherlands – AkzoNobel will invest almost €50 million in its performance coatings activities with two acquisitions that will boost the company’s Car Refinishes and Industrial Finishes businesses. The two deals involve the purchase of durable paint and bright films manufacturer Soliant LLC, Lancaster, SC, and the global resilient floor coatings business of Lord Corp., Cary, NC. Soliant is a leading supplier of specialized films used in the automotive, marine, architectural and signage industries, many of which are sold under the Fluorex® brand. It offers a strong fit with AkzoNobel Car Refinishes, and the combination of film and liquid paint will enable the business to offer more choice and sustainable technologies to its customers. Lord Corp. is a major technology company active in a number of industries including coatings. The transaction includes all intangible assets of the company’s resilient floor coatings business that generate revenue in the United States, Europe and China. 28 NOVEMBER 2008 | W W W . Fuller Co., St. Paul, MN, has acquired the majority assets of privately held Egymelt, a manufacturer and marketer of hotmelt and specialty water-based adhesives headquartered in Cairo, Egypt. Egymelt currently employs 21 people and had net revenue in 2007 of approximately $4 million.
