ing everything from initial assessment to
final implementation of a security plan,
you want the consultant to provide a
service agreement describing the scope
of the project (what the consultant will
do), the methodology the consultant will
use, and how much he/she will charge
for the work.
Some consultants simply quote an
hourly rate, but that leaves open the question of how much the project will cost.
Bates says he estimates the time required
for a project and then quotes a "not to
exceed" limit, with the understanding
that if clients want to go beyond the work
specified in the proposal, there will be an
additional charge for it.
The agreement should also specify
the extent or limits of the consultant's
involvement. Does it end when the
consultant submits a final report, or will
the consultant oversee implementation
of the recommendations? Will he/she be
available for follow-up questions? Failure

to answer those questions "can create
friction" between the consultant and the
board, Lanni notes.
Boards also need to know what the final
work product will be-what the report
will cover and how recommendations
will be delivered. "We usually suggest a
discussion with the board, which can be
in person or by phone, before we draft the
final report," Bates says. The board has an
opportunity to react, saying, for example,
"We can't afford to do what you're recommending." Based on that feedback, Bates
says, he can revise his recommendations.
"It's a liability issue," he explains. "If a
consultant recommends that you tighten
controls in some area and you don't do
that, the report could be used as evidence
[in a negligence claim] that you had notice of a deficiency and ignored it. Boards
must be cautious about that."
Fortunately, he points out, "there is
almost always more than one solution" to
any problem. "Sometimes just changing

existing procedures" is all that is required.
"It's up to the consultant and the board
to work together to find alternatives that
work for the community," Bates suggests.
"There are many different things
you can do to find workable options,"
Lanni agrees. He says he follows the "it
depends" principle in developing alternatives for association boards. Acceptable
solutions, he explains, will depend on the
community's needs, its personality, and
its tolerances-what residents are willing
to accept. "At the end of the day, the board
must decide what it is comfortable with.
We can't force that," Lanni says. "We can
only offer opinions, suggest solutions, and
help them make good decisions that get
them where they want to be."
