Philips to sell its MedQuist shares New Jersey company loses three directors over plans to sell. By BernIe MonegaIn, Editor MOUNT LAUREL, NJ – MEta phaRMacy SyStEMS RElEaSES ENtERpRISE EMaR Meta Pharmacy Systems, a Floral Park, N.Y.-based supplier of comprehensive medication safety information systems, has released MetaCare Enterprise EMAR, a Web-based, point-of-care medication administration system designed to monitor and reduce medication errors through the use of barcode technology. MetaCare EMAR identifies and verifies the patient, searches for medications ordered for that patient and cross-checks for possible allergies and interactions. Subsequent scanning verifies the correct drug, dose, route of administration and schedule. Three members of MedQuist’s board of directors resigned Nov. 9, just days after majority shareholder Royal Philips Electronics N.V. announced it planned to auction its shares of the healthcare company. N. John Simmons Jr., Richard H. Stowe and John H. Underwood, all independent board members (meaning they are not also employed by MedQuist), left the board. The company said the directors resigned because they were at odds with Philips about how to proceed with its plans to sell MedQuist. The board members questioned the role of a committee of independent directors in evaluating whether a sale is in the best interest of MedQuist shareholders, the company said. MedQuist officials are moving to replace the three board members. The company plans to hold an annual meeting of shareholders within 30 days, according to a proxy statement filed with the Securities and Exchange Commission. MedQuist also recently submitted its application for listing on the NASDAQ Global Select Market. The company’s common stock has traded on the over-the-counter “Pink Sheets” market under the symbol “MEDQ .PK” since June 16, 2004, the date on which its common stock was delisted from auCTIon see page 34 CENTRICITY SHOWCASE – A General Electric representative portrays fictional cardiology patient Gerald Quest, age 77, during a recent demonstration of GE Healthcare’s Centricity Healthcare Community IT showcase at company headquarters in Barrington, Ill.
