On the other end of the notice
spectrum is the federal government.
Court and boards of contract appeals
take a much more lenient view of
contractual notice provisions, determining
the effect of imperfect or
nonexistent notice by evaluating
whether such deficiencies prejudiced
the government . Cri t ical ly, the
government has the burden of proving
that it was prejudiced by untimely
notice of a lack of notice altogether. The
government cannot meet that burden if
the contracting officer had actual or
constructive knowledge of the change
or condition giving rise to the claim.
The variation in approaches to
notice can be seen even in states
generally applying a strict notice
standard. For example, some lower New
York Courts have taken a more lenient
approach to the enforcement of notice
provisions in contracts on private
projects than the Court of Appeals
announced in A.H.A. General Const., a
case involving a public project. On the
other hand, in SNC-Lavalin, Inc. v. Alliant
Techsystems, Inc., No. 7:10CV00540
(W.D.Va. Oct. 13, 2011), a U.S. District
Court in Virginia extended to private
contracts the Virginia Supreme Court's
opinion in Commonwealth v. AMEC, LLC,
280 Va. 396, 699 S.E.2d 499 (Va. 2010),
which ruled that statutory notice
provisions incorporated into public
contracts cannot be waived and must be
enforced strictly.
In addition to making distinctions
between public and private contracts,
some courts have taken different
approaches to notice depending upon
the issue for which notice is required.
For example, courts have taken a different
approach to notice for differing site
conditions, where courts have insisted
on notice before conditions are disturbed,
than for delays and other claims.
The takeaway: The differences and
nuances in the law of the various jurisdictions
make it impractical and
unwise to try to tailor notice practices to
each jurisdiction. The wide variation in
courts' application and enforcement of
contractual notice provisions highlights
the importance of complying
with notice provisions as closely and
fully as possible.
