I.
Modification ou dénonciation de l'acte fondateur
Les modalités de modification ou de suppression de l'acte fondateur sont prévues
par le droit commun du travail. Elles varient en fonction de la nature juridique de
l'acte.
A. Convention ou accord collectif
1. Modification
La convention ou l'accord collectif ne peut être modifié que par la signature d'un
avenant de révision par les seules et mêmes parties signataires de la convention ou
de l'accord collectif initial au cours du cycle électoral (en principe de 4 ans) (C. trav.,
art. L. 2261-7-1, 1°) ou, à l'issue de ce cycle, par des organisations non signataires de
la convention ou de l'accord initial (C. trav., art. L. 2261-7-1, 2°).
L'avenant de révision n'est valable que s'il est conclu dans les conditions prévues
par le Code du travail (C. trav., art. L. 2232-12. V. supra, encadré).
Il se substitue de plein droit aux stipulations de la convention ou de l'accord qu'il
modifie (C. trav., art. L. 2261-8).
2. Dénonciation
La convention ou l'accord collectif conclu pour une durée indéterminée instituant le
régime de protection sociale complémentaire dans l'entreprise peut être dénoncé
par les parties signataires (C. trav., art. L. 2261-9), et en particulier par l'employeur.
La dénonciation, notifiée par son auteur aux autres signataires, doit être précédée
d'un préavis de trois mois, sauf stipulation contraire (C. trav., art. L. 2261-9).
La dénonciation n'entraîne, toutefois, pas la disparition immédiate de la convention ou de l'accord dénoncé. Celle-ci ou celui-ci continue de produire effet jusqu'à
l'entrée en vigueur de la convention ou de l'accord qui lui est substitué ou, à défaut, pendant une durée de douze mois à compter de l'expiration du délai de
préavis (C. trav., art. L. 2261-10).
Au total, la convention ou l'accord collectif dénoncé survit à titre provisoire pendant une durée de quinze mois. L'accord dénoncé reste alors applicable aux salariés
présents dans l'entreprise avant la dénonciation, ainsi qu'aux nouveaux salariés
embauchés après la dénonciation.
Ces règles doivent être articulées avec l'échéance du contrat d'assurance (v. infra).
