Une ordonnance n° 2019-697 du 3 juillet 2019 relative aux régimes professionnels
de retraite supplémentaire adapte les régimes de retraite à prestations définies à la
réglementation communautaire.
Les régimes conditionnant le bénéfice des droits à la présence effective du salarié
dans l'entreprise au moment du départ à la retraite sont désormais fermés et ne
peuvent plus accueillir de nouveaux adhérents (art. 2, mod. CSS, art. L. 137-11). L'ordonnance autorise en conséquence le transfert des engagements d'un régime de
retraite chapeaux à droits aléatoires vers un nouveau dispositif de prestations définies à droits certains (avec exonération fiscale des sommes transférées pour le bénéficiaire au titre de l'année de transfert) (art. 5).
Toutefois, la mise en place d'une condition de durée de présence minimale dans l'entreprise pour la souscription du contrat et d'une condition de durée de cotisations
minimales pour l'acquisition de droits à retraite est possible dès lors que les sommes
de ces deux durées n'excèdent pas trois ans. Une condition d'âge minimal peut également être imposée, mais sans que celle-ci puisse être supérieure à 21 ans. Enfin,
lorsque le bénéficiaire quitte l'entreprise avant d'avoir acquis ses droits à retraite, la
somme des cotisations versées par l'employeur et, le cas échéant, le bénéficiaire, leur
sont remboursées (C. assur., art. L. 143-0). Chaque année et, le cas échéant, sur demande, l'assureur doit informer le bénéficiaire sur les conséquences d'une cessation
d'emploi sur les droits à retraite supplémentaire qu'il a acquis et sur la valeur et les
conditions d'acquisition et d'utilisation de ces droits.
B. Garanties annexes
1. Clauses obligatoires
Comme dans les régimes à cotisations définies, le régime doit prévoir une pension
de réversion (v. supra). Il doit, en outre, prévoir une clause de revalorisation des
rentes.
2. Clauses facultatives
Le contrat peut également prévoir une contre-assurance en cas de décès (v. supra).
En revanche, le régime ne peut prévoir ni rachat, ni transfert des droits, les droits
n'étant pas acquis et les provisions n'étant pas individualisées.
