L'ACTE FONDATEUR DU RÉGIME
Le régime de protection sociale complémentaire doit être mis en place par une
norme interne à l'entreprise, appelée « acte fondateur ». L'acte fondateur fait
naître les engagements de l'entreprise à l'égard des salariés et, le cas échéant,
l'obligation pour ces derniers de participer au financement du régime.
Section 1 * Le choix de l'acte fondateur
L'article L. 911-1 du Code de la sécurité sociale offre à l'employeur le choix entre
trois modes opératoires pour mettre en place le régime de protection sociale complémentaire obligatoire dans l'entreprise : la convention ou l'accord collectif, le
référendum ou la décision unilatérale.
Remarque
Régime à adhésion obligatoire. La mise en place du régime par une de ces normes
ne s'impose que si le régime est à adhésion obligatoire pour tous les salariés de l'entreprise ou une catégorie objectivement identifiée, ce qui est généralement le cas
compte tenu des exonérations fiscales et sociales associées à ce type de régime. Ces
exonérations sont, toutefois, subordonnées à l'utilisation d'un de ces modes opératoires. L'adoption du régime par tout autre support (usage d'entreprise, accord avec
les représentants du personnel) ne permet pas d'en bénéficier.
Rôle du comité social et économique. Le caractère obligatoire du régime exclut, par
ailleurs, qu'il puisse être géré par le comité d'entreprise, et désormais par le comité
social et économique, au titre de ses activités sociales et culturelles (Cass. soc., 1er oct.
2003, n° 02-30337). Le comité d'entreprise ou le comité social et économique ne peut
mettre en place (Cass. soc., 27 mars 1996, n° 92-44933) ou gérer qu'un régime de
prévoyance à adhésion facultative. Cette solution est déconseillée en pratique pour
plusieurs raisons. Un tel régime ne bénéficie pas des exonérations fiscales et sociales,
les tarifs sont généralement plus élevés et les assureurs ont la possibilité d'exclure
certaines pathologies de la garantie (L. n° 89-1009, 31 déc. 1989, art. 3).
