La protection sociale complémentaire d'entreprise
L'acte fondateur doit prévoir les modalités de sa révision et de son renouvellement
(v. infra).
II. Les clauses obligatoires
Les articles L. 912-1 et suivants du Code de la sécurité sociale énumèrent les clauses
qui doivent obligatoirement figurer dans l'acte fondateur. Ces clauses sont au
nombre de trois.
A. La clause de réexamen
Lorsque l'acte fondateur désigne un organisme assureur comme gestionnaire du
régime de protection sociale complémentaire mis en place dans l'entreprise, il doit
comporter une clause déterminant les conditions et la périodicité, qui ne peuvent
être inférieures à 5 ans, d'un réexamen du choix de cet organisme, ainsi que des
intermédiaires éventuels, notamment des courtiers... (CSS, art. L. 912-2). L'objectif
est de vérifier que ce choix est toujours justifié.
B. La clause de changement de l'organisme assureur
Lorsque le régime mis en place assure la couverture, sous forme de rentes, des
risques décès, incapacité ou invalidité, l'acte fondateur doit comporter une clause
organisant en cas de changement d'organisme assureur :
- la revalorisation des rentes en cours de service ;
- le maintien de la garantie décès pour les bénéficiaires de rentes d'incapacité
ou d'invalidité ;
- la revalorisation, au moins égale à celle prévue par le contrat résilié, des bases
de calcul des prestations relatives à la couverture du risque décès (CSS, art.
L. 912-3).
Cette clause a pour objectif de garantir aux salariés que le changement d'organisme
assureur - et donc que la mise en place d'un nouveau régime de protection sociale
complémentaire différent du précédent - sera neutre au regard des prestations en
cours de services. En effet, l'organisme sortant n'est tenu par la loi (L. n° 89-1009,
31 déc. 1989, art. 7) que d'assurer le service de ces prestations au niveau atteint au
jour de la résiliation du contrat et non leur revalorisation ultérieure. Il appartient à
l'employeur d'organiser ce maintien et cette revalorisation. À défaut, il engagerait
sa responsabilité à l'égard des salariés ou anciens salariés qui seraient lésés et il
devrait assumer personnellement ce maintien et/ou cette revalorisation. Il a donc
tout intérêt à négocier le contenu de cette clause avec l'organisme assureur initial
ou avec le nouveau.
Cette obligation ne concerne que le changement d'organisme assureur et non la
suppression du régime visé par l'article 7 de la loi du 31 décembre 1989 (v. infra).
