Les travaux scientifiques présentés au cours des nombreux colloques qui se tiennent en
France et à l'étranger deviennent souvent des références incontournables pour les
universitaires, chercheurs et praticiens. La collection Grands Colloques a pour intention
d'offrir à tous ceux qui s'intéressent aux matières juridique et économique les actes des
colloques les plus importants.
Au sein de la littérature juridique, le dirigeant de société n'a rien d'un personnage
méconnu. Mais lorsque l'on consulte les ouvrages spécialisés, on s'aperçoit assez
rapidement que si le statut du dirigeant est conté par le menu, une problématique
reste le plus souvent peu ou pas abordée : de quelles façons un dirigeant social
peut-il se protéger des risques liés à sa fonction ? C'est à cette question, trop rarement
traitée de manière directe, que les auteurs se sont efforcés de répondre.
Les risques encourus par le dirigeant sont connus et peuvent revêtir une dimension
juridique ou économique, les deux aspects étant souvent liés. Il suffit, à titre
d'exemples, de penser aux risques liés à sa révocation, à l'engagement de sa
responsabilité civile ou pénale ou encore aux sûretés qu'il a pu consentir en garantie
des dettes de la société. Mais les outils de protection mobilisables par le dirigeant
pour s'en prémunir n'avaient pas, jusque-là, fait l'objet d'une étude d'ensemble.
Le but de cet ouvrage est donc d'envisager les diverses sources de protection
du dirigeant. Elles ont été réparties en deux catégories. D'une part, des sources
dites « primaires » : la loi, les droits et libertés fondamentaux, la jurisprudence.
D'autre part, des sources qualifiées de « secondaires » : le contrat, les statuts,
les délibérations sociales.
Cela supposait de faire appel à des spécialistes venant d'horizons divers : du droit
des sociétés naturellement, mais également du droit pénal, du droit du travail,
du droit de la protection sociale ou encore du droit du surendettement. Le présent
ouvrage s'adresse donc non seulement aux étudiants de 2e ou 3e cycle, mais encore
à tous les praticiens spécialistes du droit de l'entreprise.
