se montrer bienveillante. Mais on peut considérer que, sauf cas particulier,
elle est parvenue à un résultat équilibré, voire que les dirigeants sociaux
sont très loin de bénéficier d'une quelconque immunité. en effet, que cela
rassure ou que cela inquiète, la jurisprudence délaisse parfois la main tendue
pour montrer le poing et rappeler le dirigeant à ses devoirs.
II - MONTRER LE POING
15. Quoi que l'on ait dit jusque là, on ne saurait taxer la jurisprudence
d'un excès de mansuétude à l'égard du dirigeant social. on peut même
considérer que l'heure est à un renforcement des exigences à son encontre.
Le dirigeant social voit en effet peser sur lui des obligations envahissantes ;
et il peut parfois redouter que les juges usent à son égard de standards
embarrassants.
A. Des obligations envahissantes
16. Lorsque l'on envisage les cas dans lesquels la responsabilité du
dirigeant social est mise en cause, deux obligations, au domaine étendu,
occupent le devant de la scène judiciaire contemporaine et ne sont pas
forcément sans lien entre elles34. D'une part, l'obligation de loyauté, qui a
largement retenu l'attention de la doctrine ; d'autre part, une obligation de
diligence, dont le contenu apparaît plus fuyant.
1. L'obligation de loyauté
17. Chacun sait à quel point l'obligation de loyauté du dirigeant est à
l'heure actuelle des plus conquérantes ; notamment car elle s'impose à lui
tant dans ses relations avec la société que dans celles qu'il entretient avec les
associés. La loyauté à l'égard de la société lui interdit de concurrencer cette
dernière35, sa fonction le place donc dans une situation moins favorable que
