13. Incidence des mesures protectrices des cautions. - Le législateur
n'a pas réellement compensé la sévérité de la jurisprudence. Sans doute
a-t-il créé une obligation d'information sur la faculté de révocation des
cautionnements à durée indéterminée de nature à éviter la propension
des cautions dirigeantes à oublier de les résilier42. Mais ce dispositif est
largement paralysé par la loi Dutreil elle-même en raison de sa promotion
du cautionnement à durée déterminée. De fait, il est difficile d'obtenir des
banquiers que le terme soit fixé au jour de la cessation des fonctions43.
Le formalisme protecteur de la caution « semble ainsi se retourner contre
elle, tenue sans échappatoire pour des montants élevés et une durée significative »44. Nonobstant l'intervention du législateur, il y a donc une survie
de la sévérité jurisprudentielle à l'égard des dirigeants garants.
B. L'influence de la qualité de dirigeant sur l'efficacité
des garanties
14. L'attention législative s'est concentrée sur le cautionnement pour
lequel la qualité de dirigeant n'est plus guère source de sévérité, de sorte
que la pratique est incitée à solliciter une garantie réelle pour autrui (1) ou
à placer le cautionnement en concurrence avec les autres sûretés personnelles (2).
1. Sûretés réelles pour autrui
15. Indifférence à la qualité de dirigeant ? - Acceptant d'affecter un
de ses biens personnels pour garantir la dette de sa société, le dirigeant
bénéficie-t-il d'une protection amoindrie en raison de son statut ? La
question n'a jamais été posée en ces termes tant le débat se concentre
encore aujourd'hui sur les zones d'ombre du régime des sûretés réelles
pour autrui. À suivre la Cour de cassation, le garant réel bénéficierait
du régime « squelettique »45 de l'obligation proter rem ne comportant
guère qu'une règle, celle du délaissement permettant d'abandonner le bien
grevé. Il conviendrait, en outre, d'appliquer le régime de constitution de
la sûreté réelle considérée46. Corrélativement, le dirigeant garant réel ne
