A. Protection du dirigeant par le droit des entreprises
en difficulté
23. Sauvetage de l'entreprise versus finalité des sûretés. - Lorsque
la société est saisie par le droit des entreprises en difficulté, le sort du
dirigeant résulte d'un arbitrage entre l'objectif de sauvetage de l'entreprise
et la finalité des sûretés. D'un côté, il faut inciter le dirigeant à solliciter
rapidement l'ouverture d'une procédure et, donc, neutraliser au moins
temporairement sa garantie afin qu'il ne craigne pas d'être immédiatement
poursuivi sur ses biens personnels. De l'autre, il faut préserver la finalité
des sûretés en considérant que le garant ne doit tirer aucun avantage du
droit des entreprises en difficulté puisque l'ouverture d'une procédure
marque la défaillance de la société, c'est-à-dire l'événement qu'il a accepté
de garantir. entre ces deux impératifs inconciliables, l'arbitrage est subtil et
évolutif aussi bien concernant la possibilité pour les dirigeants garants de se
prévaloir des délais, remises, rééchelonnements et arrêt du cours des intérêts
(1), que pour l'incidence sur leurs garanties du défaut de déclaration par le
créancier à la procédure (2) ou de la clôture de la procédure de liquidation
pour insuffisance d'actif (3).

arrêt du cours des intérêts
24. Le dirigeant garant est protégé chaque fois qu'il peut invoquer les
faveurs accordées au débiteur. À cet égard, il n'y a aucune distinction à
faire selon la nature de la garantie puisque le législateur vise les personnes
physiques « ayant consenti une sûreté personnelle ou ayant affecté ou cédé
un bien en garantie ». Le dirigeant-garant pourra invoquer un éventuel délai
de grâce accordé au débiteur au cours de la procédure de conciliation ainsi
que les mesures arrêtées dans l'accord homologué ou seulement constaté à
l'issue de cette procédure69. par ailleurs, il peut se prévaloir de la suspension
des poursuites individuelles pendant la période d'observation précédant
l'adoption d'un plan de sauvegarde ou de redressement ou le prononcé de
la liquidation. À titre personnel cette fois-ci, le dirigeant-garant peut ensuite
solliciter des délais ou un différé de paiement dans la limite de deux ans
(C. com., art. L. 622-28, al. 2). enfin le dirigeant pourra se prévaloir de
l'arrêt du cours des intérêts lorsque le débiteur fait l'objet d'une procédure
