autonome ou indemnitaire. C'est dire que l'assimilation opérée par le droit
des procédures collectives comporte encore des restrictions qui mériteraient
d'être levées par la jurisprudence.
3. Clôture de la procédure de liquidation
pour insuffisance d'actif
28. « Le recours pour tous ! »79. - en cas de clôture de la procédure
pour insuffisance d'actif, la finalité des sûretés l'emporte sans restriction. Si
l'exercice des poursuites contre le débiteur est paralysé, sa dette proprement
dite demeure, de sorte que les garanties personnelles comme réelles souscrites
par le dirigeant peuvent être mises en mouvement. Le garant disposera
néanmoins d'un illusoire recours après paiement80. Jusqu'à l'ordonnance
du 12 mars 2014, le Code de commerce ne le mentionnait que pour les
cautions et les coobligés (C. com., anc. art. L. 643-11, II). Corrigeant cette
maladresse et assurant l'alignement de toutes les garanties pour autrui,
le nouvel article L. 643-11, II dispose désormais : « Les coobligés et les
personnes ayant consenti une sûreté personnelle ou ayant affecté ou cédé
un bien en garantie peuvent poursuivre le débiteur s'ils ont payé à la place
de celui-ci »81. Cette fongibilité des engagements pour autrui est encore
étrangère à la lettre du droit du surendettement.
B. Protection du dirigeant garant par le droit
du surendettement
29. Reste à vivre. - Avec une inspiration voisine de celle du droit
du surendettement, l'article 2301 du Code civil, modifié par la loi du
29 juillet 1998 relative à la lutte contre les exclusions, dispose qu'une caution
personne physique ne peut être privée du minimum de ressources fixé à
l'article L. 331-2 du Code de la consommation. N'affectant pas l'étendue de
la dette mais seulement, à l'instar d'un délai de grâce, le droit de poursuite
