How to survive
and profit from
a transportation
company merger

ou have a company to run, drivers to manage, bankers to deal with and a
hundred other CEO chores to do. Here's one more issue to think about: mergers
and acquisitions. You might want to merge with another company. Or another
company might want to acquire you.

WHY SHOULD YOU GIVE any thought to
a merger or an acquisition? Answer:
it might enable you to boost your
company's profits.

Investopedia.com, an Internet
information resource for investors,
describes the reasoning behind
business mergers this way: "One plus
one makes three: this equation is the
special alchemy of a merger or an
acquisition...Two companies together
are more valuable than two separate
companies - at least, that's the
reasoning behind M&A."

As a CEO, your stockholders or private
backers expect you to consider measures
that will increase the value of the
company. Of course you want to increase
the value of your company as well.
What is a merger? What is an acquisition?
"The difference between a merger and
an acquisition is seldom cut and dry,"
said Robert Rich, president of ROAR
Logistics, Inc. of Buffalo, New York.
"When two companies merge, they have
a mutual agreement to combine the
resources of both companies to create a
new entity."

ROAR has undertaken a number of
successful mergers and acquisitions.
A merger is a marriage of equals or at
least relative equals, said Rich. Each
company is relatively the same size.
Both make similar capital commitments
and both agree on a new company
management structure that takes
advantage of the strengths that each
company brings to the table. The
financial management of a merger
typically requires each company to
surrender its stock, while new stock is
issued for the new entity.
