THE NUMBERS -
IT ALL STARTS HERE

As with anything, the hardest part is
often just getting started. The first step
of figuring out the numbers can appear
complicated. We have spent a lot of time
with business owners walking through
these basic steps that will help answer the
fundamental question, "what's it worth?"
* Put together three years of financial
statements in a form that potential
buyers want to see. At small to midsized businesses, we've seen everything
from QuickBooks reports, to individual tax returns, all the way to fullblown audited financial statements.
* Buyers understand how the cost
structure of a closely held business
needs to be adjusted to a corporate
setting. Make sure you do too by making appropriate adjustments to your
financials to show the true profitability
of your business. We know that you've
most likely done your accounting with
an eye toward minimizing the tax burden on your company, as well as yourself individually, but now it's time to
adjust the way you look at the business.
* Finally, prepare three to five years
of projections for the business, based
on reasonable assumptions, and supported by your business/growth plan.

or with local help. But frequently we get
calls to provide guidance on how buyers
will calculate value from their side of the
table. While it can appear complicated,
it's not rocket science. But, the math is
important and needs to be done right.
