that do not want to have open meetings.
That sentence reads: "In the alternative, board may hold closed meeting if
meeting is recorded and recording is
available for unit owners up to 30 days
upon request." This exception swallows
the rule if a board is willing to record
all meetings. There is no definition of
what "record" means, but video would
certainly suffice. I believe that an audio
recording, such as on a smart phone
app, would be fine as well. While this
exception means that open meetings
are not legally required by the amended
Act, philosophically we encourage
boards to hold open meetings as they
tend to create transparency and avoid
the suspicion of what the board is doing
in "secret" meetings.
Remember, if the board is given materials for an open meeting, those materials must also be distributed to owners
in attendance. However, owners would
not receive any privileged documents
or documents which would otherwise
not be given to owners in the normal
course of business. Examples would
include ledgers for delinquent owners,
documents concerning litigation, or
proposed contracts. Keep in mind that
there are several carve-outs for matters that can be discussed outside of
the open meeting in executive session.
These exceptions cover almost any
sensitive matter that a board would not
want to discuss in an open meeting.
PROXIES
Among the numerous new requirements imposed upon managers under
H.B. 353 is the requirement that all
proxies bear a control number. Thus,
prior to sending out proxies, each proxy
form must have a number on it that corresponds to a master list of owners held
by management. In this way, management can easily ensure that the proxy
from Mrs. Smith is not fraudulent.
Proxies must be retained for a period
of three years.
