just because she is on the board. Her
delinquency must be dealt with in the
same manner as the other unit owners
and she cannot make any decisions
regarding her account.
In addition, with respect to her
neighbor, Ivanna also cannot use
information that she is privy to via her
position on the board for personal gain.
In the second example, Ida is using
her position on the board to try to
get a special privilege. Further, she is
seeking to do something that is not in
the best interest of the association. Ida
has a fiduciary duty to the owners to
handle association funds responsibly.
She cannot borrow money from the
association.
In the third example, Anita cannot
use her position on the board to enforce an alleged rule violation in which
she is the victim. She may report the
alleged violation as any other owner,
but must recuse herself from all discussions and decisions on the issue.
She would be a witness at any evidentiary hearing on the alleged violation,
but nothing more. Additionally, the
other board members must be careful
to not give Anita's complaints special
attention, compared to how they deal
with complaints of other owners.
FRIENDS AND FAMILY
Another popular scenario occurs when
a board member wants to hire a family
member or friend to do work at the
property. Even if a board member is
not getting a kickback, this can still be
problematic. It is important to bid out
each and every project. It may be that
the board member's family or friend
is the most qualified, but the conflict
must be disclosed and the board
member must recuse themselves
from votes or decisions regarding that
negotiation. In some cases, it is also
important to avoid the appearance
of impropriety-and in these cases,
the conflicted board member should
not even be present when the issue is
discussed and/or voted on.

TRANSPARENCY
AND DISCLOSURE
Board members must follow and enforce the governing documents, treating
all owners equally, and handling association funds responsibly. Board members must be prepared to prove their
objectivity and fairness, as this may be
required if a transaction is challenged
or questioned. Lack of transparency is
a top, if not the top, complaint of unit
owners about their board members.
Board members should always disclose
all potential and actual conflicts.
It is nearly impossible to avoid all
conflicts as board members are part of
the community and likely have interests
and affiliations of varying degree with
many different individuals and companies that can and do cross the path
of the association at some point. Some
"conflicts" are harmless. It is how the
actual or potential conflict is dealt with
that makes all the difference. 

At the end of the day, being honest
and up front is the best policy. It is
always better to be more inclusive when
assessing whether a conflict exists.
When in doubt as to whether a conflict
exists, seek legal counsel. Boards should
always keep detailed and accurate
minutes and disclose and document
everything-especially recusals.  
Being a board member cannot be
about "What's in it for me?" With hard
work and good, impartial decisionmaking, the result will be a successful,
flourishing association that is shared
and enjoyed by all members, and that is
a reward in and of itself. If one is lucky,
they may also get a good old fashioned
pat on the back.
