VENDOR GROUND RULES
Contracts should describe not only
what contractors are expected to do
but how they are expected to behave,
Carr emphasizes. "You want to
analyze the project and the site and
identify all the factors you want to
control," he says.
These areas of concern
might include:
Hours when the contractor is allowed to
work-anticipating
residents would not
welcome the sound
of jackhammers at 7
on a Sunday morning.
Where workers are
allowed to park.

Provide proof of insurance.

Where trash can be dumped,
where equipment and materials
can be stored.

Indemnify the association
against damages resulting
from the vendor's work.

Access to power and water
and bathrooms.

Identify the association and the
association's manager as "named
insureds" on the vendor's insurance policy. This will require the
vendor's insurer to defend the
association against any claims
resulting from the vendor's work.

Where access is allowed-and
where it is denied. "If the work
is in the basement, you might
specify that workers aren't
allowed on the roof"
to eat lunch or take
a nap, Carr suggests.
What workers
are required
to wear.
The vendor's obligation to
keep the site clean.
Security requirements, if any.
"A bunch of guys mowing the
lawn probably don't need security
badges," Carr says. "But if workers are going to be inside buildings, you might want more formal
identification than a clipboard
or a hardhat."

INSURANCE REQUIREMENTS
"Anyone who comes on the association's site to do work of any kind"
should be required to have adequate
insurance and provide proof of it,
Shaffer advises. And that requirement should apply to all contracts, he
says, regardless of their size. "There
is no relationship between the size
of the contract and the liability
risks," he notes. A handyman
driving a truck could hit
an owner's car-or an
owner-resulting in an
immense damage claim.
In addition to requiring vendors to have
insurance at a specified
minimum amount, the contract should require them to:

A certificate of insurance does
not provide that assurance, Shaffer
cautions. "It verifies that the vendor
has the insurance in the amount
specified, but it doesn't guarantee
additional insured status for the
association." To get that assurance,
the association must require the
vendor either to:
Demonstrate the vendor's insurance contains an automatic
endorsement if a contract
requires it, or
Provide a copy of the additional
insured endorsement for
the association.

TERMINATION PROVISION
Boards don't usually enter a contract
assuming something will go wrong;
but they need an escape clause establishing the association's right to end
the contract if the vendor doesn't
perform as required. Absent that language, the association would probably
have to sue the vendor in order to terminate the agreement. It isn't necessary to specify causes for termination,
Shaffer says, "and it's better if you
don't. Any list of the grounds for
termination is going to be limiting.
If the cause isn't on your list, you'll
end up fighting about whether the
contractor has, in fact, breached
the agreement."
Because the law in this area is wellestablished, Shaffer says, language
allowing termination for any "material
breach" should provide adequate
protection. His preference if vendors
will accept it, is a "termination for
convenience" provision, allowing the
association to end the contract
for any reason, simply by providing
adequate notice (defined in the contract) and paying a specified penalty
for the early termination.
"There are many reasons a board
might want to terminate a contract,"
Shaffer says-because of a personality
clash with the vendor, for example-
that wouldn't constitute a "material
breach" of the agreement. The "termination for convenience" language
eliminates the risk that a vendor will
sue for wrongful termination, avoiding
a legal battle neither party usually
wants. Vendors will usually accept the
provision, Shaffer says, "and associations are unlikely to use it, but it is
good protection to have."
