the right manager for many associations
if she's unfamiliar with recordkeeping
and the association's duty to provide
financial and other information to
unit owners, such as resale certificates.
However, if the board is very involved in
the day-to-day operations of the community and simply needs its facilities
maintained, the person who'd be a poor
manager for another community may
be exactly what's needed.
For everyone's sake, the manager's
duties should be set out in a written
contract between the manager and
the association. Form management
contracts may provide useful starting
places for discussion of these issues
but may not call for all the association
needs. A contract will spell out, broadly,
what the association is paying, and what
it's paying for. There may be additional
work a manager is called upon to perform - litigation comes to my mind,
unsurprisingly. A good contract should
spell out what will happen in that event.

INDEMNIFICATION,
TERMINATION, INFORMATION
The contract should also address indemnification of the manager in the event
the manager is sued for following the
direction of the association. On the other
hand, if the manager goes beyond - or
even against - the board's direction, the
contract may provide that the association will not indemnify the manager for
resulting damages and may go further
to require the manager to indemnify the
association. Finally, like all good things,
the relationship between association
and manager may come to an end. The
contract should spell out how that happens: when and what notice is required
for termination; the return of tangible
(e.g., books and records) and intangible
(e.g., software) things; and compensation. These often depend on whether the
agreement is terminated for cause or for
no reason. All of these, and others, are
important considerations worth discussing with the prospective manager and
the association's counsel.

Counterintuitive as it may seem,
one of the critical elements of an
agreement for property management
is what will happen at its end.
Hiring or parting ways with a manager
will require a process of exchanging
information and records, ensuring
that the association retains - and can
provide its members with access to -
the records required by VCIOA and
any others useful in operation
of the community, as well as getting
the board or the new manager up
to speed. A departing manager will
probably also have useful institutional
memory. Boards change more often
than managers in many communities,
and you never know when an issue you
thought was resolved a decade ago will
rear its head.
