PepsiCo, Tingyi Holding form alliance in China

Optimize new food business opportunities.

PURCHASE, N.Y. — PepsiCo, Inc. and Tingyi Holding Corp., one of the largest food and beverage companies in China, have agreed to form an alliance in China. The alliance would make Tingyi’s subsidiary, Tingyi-Asahi Beverages Holding Co. Ltd., PepsiCo’s franchise bottler in China. “To win globally, we need to have absolutely the best business partners locally,” said Indra K. Nooyi, chairman and chief executive officer of PepsiCo. “Tingyi has a history of successful partnerships with other companies, and we believe this proposed alliance will combine Tingyi’s superb distribution reach with PepsiCo’s innovation prowess, significantly enhancing our beverage business in China in the near term while maximizing PepsiCo’s future growth potential in the fastest-growing beverage market in the world. This is a positive deal for PepsiCo, Tingyi, our existing Chinese bottling partners and consumers in China.” PepsiCo currently has 24 company-owned and joint-venture bottling operations in China. Sun Pac Foods acquired by private investment firm
BRAMPTON, ONT. — Sun Pac Foods Ltd., a company positioned in the better-foryou beverage segment, has been acquired by Liquibrands, Inc., a private investment firm. Terms of the transaction were not disclosed. Sun Pac manufactures fruit juices, frozen juices and juice concentrates in a variety of packaging formats from a 355,000-square-foot facility that is included in the transaction. The company also manufactures croutons and bread crumbs under the McDowell Ovens banner and private label brands. FBN

interests in the bottlers to Tingyi-Asahi and will receive as consideration a 5% indirect equity interest in Tingyi-Asahi. PepsiCo also will have the option of increasing its indirect equity interests in Tingyi-Asahi to 20% by 2015. Tingyi-Asahi will partner with PepsiCo’s current bottlers to manufacture and distribute PepsiCo’s soft drink and Gatorade brands and will begin co-branding its juice products under the Tropicana name with a license from PepsiCo. The transaction is still subject to regulatory and shareholder approval. PepsiCo also has acquired Mabel, a manufacturer of cookies, crackers and snacks that is based in Brazil. Brands owned by the company include Mabel, Elbi’s, Kelly and Skiny. Terms of the agreement were not announced. “PepsiCo continues to build its global macro-snacks portfolio and make strategic investments that will drive our business performance and unlock long-term growth opportunities,” said John Compton, chief executive officer of PepsiCo Americas Foods and Global Snacks Group. “Brazil is an extremely important market for PepsiCo and this acquisition well positions us in a key segment in the snack category there.” PepsiCo said the biscuit segment is the largest snack category in Brazil, present in more than 98% of Brazilian households. The country is the second largest cookie and cracker producer in the world. “Mabel is an important part of our plans for Brazil,” said Olivier Weber, president of PepsiCo South America, Caribbean and Central America Foods. “It’s a company with a long history of providing Brazilian consumers with great-tasting products and trusted brands they know and love, and we’re excited for them to become part of the PepsiCo family.” With the acquisition, PepsiCo will employ 12,000 in Brazil and operate 19 facilities in the country.
