HollyFrontier to Acquire Suncor
Energy's Petro-Canada Lubricants Business

Ergon Names New
CEO and COO

HollyFrontier Corp. announced in October that it had entered into a definitive
agreement to acquire Suncor Energy's Petro-Canada Lubricants business for
CA$1.125 billion (or approximately $845 million based on the exchange rate at
time of signing), including working capital with an estimated value of CA$342
million (or approximately $257 million based on the exchange rate at the time of
signing).
The Petro-Canada Lubricants plant, located in Mississauga, Ontario, is the largest
producer of base oils in Canada and the only North American producer of
high-margin Group III base oils. With this transaction, HollyFrontier also acquires
a perpetual exclusive license to use the Petro-Canada trademark in association
with Lubricants.
With the addition of the Petro-Canada Lubricants business, HollyFrontier will
become the fourth-largest lubricants producer in North America, with a capacity
of 28,000 barrels per day, or approximately 10 percent of North American
production.
The transaction is subject to regulatory approval and customary closing
conditions and is expected to close in the first quarter
of 2017.

Ergon announced that its Board of Directors has
named Emmitte J. Haddox interim chief executive
officer and Jimmy A. Langdon executive vice
president and chief operating officer for Ergon
Inc., and its subsidiaries.
Haddox is the former managing partner of
Haddox Reid Burkes & Calhoun, a CPA firm based
in Jackson, Mississippi. He joined Ergon in 2010
as an executive financial adviser but has been
closely associated with Ergon and the Lampton
family since the mid-1960s. He is a graduate of
the University of Southern Mississippi, where he
earned his degree in accounting.
Langdon has served in a number of leadership
roles over the past 28 years in Ergon companies
and departments, including Ergon Refining
Inc.; Ergon - West Virginia Inc.; Corporate
Engineering; Ergon Terminaling Inc.; and Ergon
Asphalt & Emulsions Inc. Prior to his promotion
to chief operating officer, he served as executive
vice president in corporate operations and
administration. He is a graduate of Mississippi
State University, where he earned his degree in
civil engineering.

suppliers and prospective suppliers through communication avenues that
did not exist a few years ago," said Mark Riemann, vice president of marketing.
"Unlike our competition, we combine multiple sales channels with in-depth
market intelligence to give clients actionable data on market trends and
opportunities."
