Mergers and Acquisitions:
From Both Viewpoints

While there is understandable trepidation over job
security whenever an acquisition is announced, all
Ineo employees were retained and the management
structure remained intact when Ineo was acquired last
autumn, says Tom Bruhn, vice president of customer

success at Ineo LLC.
" In the context of being acquired, this is about as
ideal as it gets, " Bruhn says. Ineo is now part of Jonas
Software, a U.S. subsidiary of Constellation Software,
headquartered in Toronto and listed on the Toronto
Stock Exchange.
Bruhn says that Ineo was already a strong company
but now is even stronger-and customers and
employees will both be better off for it. For instance,
Bruhn says that Constellation and Jonas have more
than 650 software and technology verticals available,
such as technology and business metrics analysis, for
Ineo to leverage knowledge share with clients.
As part of a much larger diversifi ed software
company, colleagues now have access to more
resources, such as mandatory diversity, equity,
and inclusion management training. Th ere's also
access to more comprehensive HR and facilities
and administrative shared services, as well as
inclusion in companywide benefi ts of a large,
publicly traded fi rm.
What it comes down to, says Bruhn, is that " leadership
needs to do all of their homework and due
ergers and acquisitions may
come with challenges, but there
are some good arguments that
they're ultimately a positive
diligence, and communicate to the staff what's going
on, as it becomes feasible. "
FROM THE VIEW OF THE ACQUIRER
As the industry consolidates, Suddath CEO Michael
Brannigan says that these better-capitalized companies
create an infrastructure that directly benefi ts
clients, who get to work with companies with a larger
network and more services. Th e larger companies
also make a lot of investments in technology and hire
more salespeople. " It brings stability to the industry, "
Brannigan says.
Suddath has purchased several companies in recent
years, its latest being Daryl Flood Inc. on 31 March.
Daryl Flood, the owner, was looking to sell, and
he and Brannigan had known each other for years.
Meanwhile, Daryl Flood Inc. had been in business
since 1982, possessing a stellar legacy. " It was one of
those rare instances when strategy and opportunity
came together, " Brannigan says.
So far, Suddath has retained all of Daryl Flood's
employees. If staffi ng changes are made, Brannigan
says, the company will make every eff ort to redeploy
any impacted employees to other growth opportunities
in the company. As much as possible, Daryl Flood
will keep doing what it has been doing and will even
in most cases retain its brand name. " Th is falls into the
'if it isn't broken, don't fi x it' category, " Brannigan says.
Acquisitions and mergers may not be for every
company, but as clients expand, it does make sense
that relocation and logistics fi rms would want to
follow suit in order to better serve these clients. But
before signing contracts, both parties-the seller
and buyer-really want to give it a lot of thought
and get to know each other.
" It can't just be a business fi t. It has to be a good
cultural fi t, " Brannigan says.
