he Fall 2010 Meeting
of the International
Board of Directors
was held Nov. 9-13, 2010 at
the Sons of Norway Headquarters
in Minneapolis,
Minn. The following officers
and directors were present:
President Dan Rude, Vice
President Marit Kristiansen,
Secretary Audun Gythfeldt,
Treasurer Bill Fosmoe, and
Directors Jon Tehven, Erlene
Stevenson, Barbara Berntsen,
Elaine Nelson, Ray Knutson,
Janie Kelly, Ron Stubbings
and Ernst Granly. Attending
from the staff were Chief
Executive Officer Eivind
Heiberg and Legal Counsel
David Ness.
Legal Counsel Ness, in
addition to his customary
report to the board, led the
board in a review of their
legal responsibilities as
directors and officers of a
501(c)(8) legal entity.
Chief Executive Officer
Heiberg provided an overview
of his written reports
to the board and was called
on by the board to address
issues throughout the meeting.
The Sons of Norway
director of agencies, director
of information technology,
director of insurance
services, actuary, controller,
foundation director and

fraternal director all joined
the meeting to give verbal
summaries and supplements
to their written reports.
The following board of
director committees met at
length: Corporate Matters
Committee: Chair Marit
Kristiansen, Jon Tehven, Janie
Kelly and Ron Stubbings;
Benefits Committee: Chair
Barbara Berntsen, Erlene
Stevenson, Elaine Nelson and
Ernst Granly; Finance/Investment
Committee: Chair Bill
Fosmoe, Audun Gythfeldt
and Ray Knutson.
Joe Annotti, president
and CEO of the NFCA,
moderated two sessions of
the NFCA's Board Institute
Boot Camp. First was
" The Unique Structure and
Regulation of Fraternal Benefit
Societies " followed by
" Board of Directors Duties
and Responsibilities. " Upon
the completion of the programs,
the board discussed
the value of the programs
and felt that the information
that was presented
was valuable and should be
shared with the lodges to
make them aware of what is
required to be a board member.
It was noted that the
exercise was invaluable for
the furtherance of corporate
governance initiatives.

Minutes were approved
for the board meeting held
Sept. 2, 2010.
The Sons of Norway investment
portfolio manager from
Delaware Investment Advisors
presented a report on
Sons of Norway investments.
The board and district
presidents received reports on
the vice presidents network,
the international youth director,
the Audit Committee,
and on the 2010 and 2012
International Conventions.
Representatives from GrowthWorks
Inc., who have been
hired to assist in the strategic
development of the organization,
and representatives from
meeting planning companies
gave presentations.
The district presidents,
meeting in Minneapolis at
the same time, were invited
to join the board of directors.
The following district presidents
were present: Ralph
Peterson (Chairperson),
District 3; Robert Hoover,
District 1; Waldo Bueing,
District 2; Russell Wiigs, District
4; Mary Bennett, District
5; Gloria Benazic, District 7;
Odd Harald Olsen, District
8. A joint session was held
with the district presidents
where they reported on
activities and matters of importance
in the districts.
BDI>DC was made,
seconded and carried that
the Foundation Board of
Governors will act as the
recruiting committee for the
Sons of Norway Foundation.
Recommendations should go
through President Rude.
BDI>DC was made by the
Corporate Matters Committee,
and carried to establish a
list of those lodges with real
estate holdings and communicate
annually to them the
pertinent federal and state
requirements and the necessity
of complying with the law.
BDI>DC was made by the
Corporate Matters Committee,
and carried that lodges
with real estate holdings shall
send copies of their annual
or periodic federal or state
articles of incorporation or
charter filings to Sons of
Norway, and that this procedure
be included in the Sons
of Norway Charter, Constitutions
and Procedures in the
Procedures Section 5.17.1.
Real Estate Holdings.
BDI>DC was made by the
Corporate Matters Committee,
and carried to accept
that there were no disclosures
relating to a conflict of interest
for those statements received.
Legal counsel and the executive
administrative assistant
will follow up with those who
